
This Wonderful DC law firm seeks a Corporate Paralegal to provide support to Partners and Associates in corporate matters.
Preincorporation/Preformation and Entity Formation, Checking availability of proposed company name and ordering corporate supplies.
Preparing and filing relevant formation documents for corporations, limited liabilities, limited partnerships, etc.
INCORPORATION & GENERAL CORPORATE will include attending Directors’/Managers and Shareholders’ Meetings, preparing and sending waivers and notices of meetings, drafting resolutions to be considered by directors or managers, and drafting minutes for all meetings. Reviewing draft of annual report to stockholders; Drafting oath and judge of elections reports, when required. General Document Preparation & Document Retrieval; Preparing shareholder agreements, stock option plans, trust agreements, and closing certificates for corporate transactions; Reviewing and organizing due diligence documents; Assisting with closing matters (checklist creation, distribution of signature packages and coordination of the same, document review and editing, etc.) Obtaining certificates from state agencies with respect to legal existence, good standing and foreign qualifications and obtaining tax clearance.
Research & Blue Sky Duties including extracting designated information from corporate records and documents o Assembling financial data from records on file at Security Exchange Commission and state securities regulatory agencies. Tracking pending legislation that may affect clients; Drafting state applications for the registration of securities, broker-dealers, agents, and investment advisers.
Mutual Fund Duties include updating registration statements for funds; reviewing and revising prospectuses and statements of additional information and monitoring overall compliance process. Miscellaneous Duties include assisting with obtaining tax ID numbers, preparing filings with regulatory agencies, coordinating escrow transactions, ordering, reviewing, and preparing summaries of lien searches.
Preparing documents needed to amend bylaws or articles of organization and SEC filings, tracking transactional documents and attending and organizing closings.
BANKING & REAL ESTATE will include drafting, editing, and reviewing documents relating to commercial real property transfers and to single, multi-family, condominium and cooperative residential transfers. Drafting, editing, and reviewing documents in connection with senior and mezzanine commercial loan financings, performing due diligence reviews in connection with banking, real estate and corporate transactions.
You must have a Bachelor’s degree and 2+ years of corporate paralegal or related experience.
Strong oral and written communication skills, Strong computer skills, including advanced functions of Word, Outlook, and Excel.
Ability to work overtime as needed.
9-5:30, $60-$65K and amazing benefits.
