In house Legal Counsel – Property Management/ Residential Association law

 

Herndon/Reston location

 

The legal counsel is responsible for leading corporate strategic and tactical legal initiatives. As the legal counsel you will provide the company with effective advice on corporate strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel including specialists in land use collections and covenants compliance. The legal counsel is directly involved in complex business transactions including analyzing and negotiating critical contracts.

 

You will, in partnership with the Board & CEO, participates in the definition and proper enforcement of governing documents including, but not limited to Firm Deed associated Resolutions, policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.  In collaboration with the Board & CEO develop and revise required amendments to the Association’s governing documents.  Assume ultimate responsibility for ensuring that the Association conducts its business in compliance with applicable federal, state, and county laws, ordinances and regulations. Leverage community association law knowledge to support the training of Board of Directors on governance and other procedural guidelines including parliamentary procedure.  Serve as key lawyer/legal advisor on all major business transactions, including contract review and amendment, joint ventures agreements and acquisitions. Work in collaboration with staff to ensure appropriate legal oversight of the operations of the Design Review Board, and covenants enforcement through the firm’s Covenants and Legal Committees including regular attendance to meetings.  Judge the merits of major court cases filed against or on behalf of the firm, work with the Board, CEO, and insurance defense counsel to define a strategic defense.  Consider settlements of minor disputes when warranted.  Manage the Association’s internal legal function.  Oversee the management, retention, and evaluation of all outside counsel.  Advise on legal aspects of the firm’s financing, including assessing and advising on current and future business structures and legal entities.

 

A strong customer/client focus is necessary to the success of this position.  In addition, collaboration skills, conflict management, leadership, problem solving/analysis and time Management.

 

This is a full-time exempt position with core hours of Monday through Friday, 8:30 a.m. to 5 p.m. Evening and/or weekend work will be required as job duties demand.

 

 

Requirements: Juris Doctor (JD) degree required. You must be admitted to the Virginia state bar with s minimum of six (6) years’ experience in a law firm environment as a practicing community association lawyer, preferably initially with a law firm before moving to an in-house position. Experience working on complex matters of corporate governance and with a board of directors. Experience with cost-effective management of outside legal resources. Experience with land use, development law and zoning matters a plus.    CCAL designation preferable along with active engagement with CAI, ULI or other industry groups.

 

This position has shared supervisory responsibilities of one full time administrative staff member, as well as serving as a coach and mentor for other positions in the organization.
