Corporate & Securities Paralegal

A hybrid work model of three days in the office and two days working remotely in Los Angeles, San Francisco, or Palo Alto offices

1600 billable hours requirement

40-hour work week, flextime to start from 8-9 am, and low to moderate PAID over time

Salary up to $130,000 based on years of experience, education and skills and exceptional benefits, learning and growth

This Premier International law firm with offices in Los Angeles, San Francisco, and Palo Alto is looking for an experienced Corporate & Securities Paralegal. You will be part of a cohesive, brilliant, and focused team working with top-notch clients doing substantive work.

You will provide organizational and practice-specific assistance to attorneys in the Corporate & Securities Department involved in various securities-related transactions, including related federal and state securities laws research and analysis. This position services numerous offices and will require the ability to work effectively with remote offices and be flexible to work overtime as needed.

Specific Responsibilities

  • Prepare and file Form IDs with the SEC to obtain EDGAR codes
  • Prepare and file Form Ds with the SEC and the states
  • Prepare and file Form Ds with the SEC and the states
  • File Form As and Ds with the states, either electronically through EFD or by paper
  • Coordinate preparation of Form 13F
  • Perform blue sky research re: state exemptions
  • Prepare and file state registration and/or exemption documents
  • Prepare first drafts of response letters to state comment letters
  • Monitor/track state status of registrations and/or exemptions
  • Monitor/track and prepare annual state registration and/or exemption renewals
  • Able to assist in various types of corporate and commercial transactions, including authorizations to do business in the various states
  • Maintains timely and accurate timekeeping records
  • Handles the day-to-day responsibility for performing general paralegal duties
  • Prepare and file Form Ds with the SEC and the states
  • Knowledge of the workings of a corporation, and a general understanding, appropriate for a paralegal, of federal and state securities laws, and how to research the state blue sky laws

Required Skills

  • 5-8 years of corporate & securities experience within a law firm
  • A Bachelor’s Degree or combination of relevant experience is preferred
  • An ABA Paralegal Certificate is preferred but not required
  • 5 years of experience and understanding of the numerous state’s securities or “Blue Sky Laws” and the general filing requirements in the states.
  • Experience working with state securities regulatory administrators, as well as NASAA, the SEC, and FINRA.
  • Familiarity with public companies with listed securities or companies that are subject to the ’34 Act reporting requirements.
