Corporate Securities Senior Paralegal for private corporation

This fast-growing venture capital firm with an innovative investment strategy seeks a senior paralegal who is experienced with corporate securities and general corporate law, but who also wants to expand his/her experience into a broader set of critical business-building and investment management skills.

The firm invests in later-stage successful businesses, most of which will eventually go public or be purchased by other companies. 

 

You must have a strong understanding of SEC Reg D filings, state Blue Sky filings, SEC Form ADV, general requirements of Exempt Reporting Advisors, and experience with legal documents (formation and operational) for limited partnerships and limited liability companies.  You will be an integral member of a small team of hard-working, entrepreneurial and experienced professionals.  We typically make 10-20 investments each year and our investing timeline is fast, often needing to fund companies within days or weeks.  The ideal candidate is well organized, professional, responsible and a self-starter comfortable working independently.

 

Qualifications and Skills • Associates Degree in Paralegal Studies (Bachelor’s degree is preferred) • 5+ years working as a paralegal in the corporate securities arena • Industry recognized certification from organizations such as NALA or AACP • Experience with entity formation and qualification • Excellent verbal and written communication skills  • Strong organization abilities with a focus on detail and accuracy • Strong research and report-generating skills • Experience in using legal database software • Able to identify potential issues, legal risks and potential liabilities in various transactions • Strong working knowledge of Word and Excel • Comfortable working with financials • Able to work on a peer level with outside lawyers and law firms • Works well under pressure and deadlines

 You report to the Chief Financial Officer and will be a key member of our team working closely with our Investment Partners and Director of Operations.

 

Your paralegal role consists of preparing and filing entity formation documents, creating and/or reviewing various legal documents, communication with investment closing participants, investor tracking, and post-investment work such as Form D and blue sky filings for private placements and Regulation D offerings, circulating executed agreements, and filing annual reports in states where entities are qualified to do business.  During fundraising periods, work is required on legal agreements including offering documents, partnership agreements, subscription agreements, and fundraising promotional documents.  You will also work on a variety of interesting projects related to investor relations, audit and tax, financial analysis, light accounting, insurance and compliance.
