Up to $130,000 DOE with growth, paid OT, and incredible benefits.

Hybrid work model of 3 days in the office in NYC and two days remote.

8:30-5 or 9-5:30 with an hour lunch break

Responsible for entity formation and qualifications, preparation of corporate organizational documents and minutes, merger filings, research, and assisting the corporate practice in all aspects of filings, closing, document review. The candidate would be an integral part of deal teams executing corporate and high-profile transactions.

Core Responsibilities 

    • Performs document Retrieval such as: Status certificates, Charter documents, and UCC Searches
    • Conducts corporate/LLC/LP/Trust Filings at the State Level, checks name availability
    • Arranges for name reservations in various states, as required, drafting resolutions including deal specific and annual meeting, drafting documents for filing in any state, formation, amendment, dissolution, merger, conversion, qualification/registration, UCC, etc.
    • Assists with document review and drafting review results
    • Organizes, arranges staffing and maintains data rooms
    • Creates and/or updates closing memo, distribution of documents/signature pages, drafting closing certificates, control and maintenance of all relevant documents during the closing
    • Distributes closing documents and closing volumes
    • Coordinates/oversees the work of the closing clerk, especially in post-closing process
    • Performs Blue-Sky Filings: Form D, State Filings
    • Conducts various types of SEC Filings: Section 16 – Form ID and Forms 3, 4, 5
    • Reviews private fund subscription agreements and assists in the collection and organization of side letters
    • Organizes and maintains fund precedent library and training material
    • Performs other duties as assigned or required to meet Firm goals and objectives

    Qualifications

    • Bachelor’s degree in a related field, required
    • Paralegal certificate from ABA approved paralegal program, preferred

     Professional Experience: (required or preferred)

    • Minimum of 6 years of related experience, required
    • Experience working with public/private financing, closing procedures, UCC (both preparation/filing of forms & lien searching), company/partnership formation and maintenance and public document retrieval, required

    Technical Skills: (required or preferred)

    • Proficiency in Microsoft Office products, required
    • Knowledge of CT Advantage.com, Inkspot, CSC, Cogency, or other similar websites and systems for the preparation of UCC and corporate forms and public record sharing, preferred

Required and Preferred Qualifications

  • Bachelor’s degree in a related field, required
  • Paralegal certificate from ABA approved paralegal program, preferred
  • Minimum of 5 years of related experience, required the more the better!
  • Experience working with public/private financing, closing procedures, UCC (both
    preparation/filing of forms & lien searching), company/partnership formation and maintenance and public document retrieval, required
  • Proficiency in Microsoft Office products, required
  • Knowledge of CT Advantage.com, Inkspot or other similar websites and systems for the preparation of UCC and corporate forms and public record sharing, preferred
  • Strong written and verbal communication skills, able to communicate effectively and in a professional manner with all levels of the Firm and outside vendors
